On, April 2, 2012, Debtor BTR Properties LLC (?BTR?) filed a voluntary petition for Chapter 11 relief, including schedules and statements. The petition was filed and signed by Brian T. Roberts (?Roberts?), sole member of BTR. The petition did not include the signature of any attorney for BTR. Under the ?Type of Debtor? portion of the petition, the ?corporation? box is checked, which includes an LLC, and also indicates that this is a Single Asset Real Estate case as defined in 11 U.S.C. ? 101(51B). Prior to the filing of this case, Roberts also filed a petition for Chapter 11 relief on November 4, 2011, listing himself (individually) as the debtor. [1]

On April 4, 2012, the Office of the Clerk of Court sent BTR (c/o Roberts) a letter stating that BTR must be represented by an attorney in this bankruptcy case pursuant to SC LBR 9011-2. The letter also stated that:

Unless you have your attorney file in this office, within ten (10) days of the date of this letter, a notice of appearance of representation of your partnership, corporation or other business entity in this matter, the Court will enter orders as it deems appropriate, which may include dismissal of the document you filed and imposition of sanctions. [2]

Roberts filed a Response with the Court on April 9, 2012, objecting to the requirement that BTR be represented by counsel and the Court scheduled this Status Hearing. [3] The Response attached a document titled ?SC Revenue Ruling 91-11,? [4] which states that ?[a] limited liability company (LLC) is an unincorporated business association. . .? The Response also attached a document from the Internal Revenue Service stating that ?[a]n LLC business entity must file a corporation, partnership or sole proprietorship tax return.? [5] From these documents, Roberts and/or BTR claim that as a single member LLC, which is operated as a sole proprietorship, BTR may be represented by Roberts because SC LBR 9011-2 allows an individual to ?represent an unincorporated business if that individual is the sole proprietor of that business.? SC LBR 9011-2(b).

Roberts? reliance on the authorities set forth in the Response is misplaced. Section 12-2-25 states that ?for South Carolina tax purposes: (1) a single-member limited liability company, which is not taxed for South Carolina income tax purposes as a corporation, is not regarded as an entity separate from its owner . . .? S.C. Code. Ann. 122-25(B) (emphasis added). As the statutory language plainly states, this only affects state tax purposes and, therefore, is inapplicable here.

Further, if BTR were in fact a sole proprietorship?as mentioned in document filed by Roberts (which is not the case)?then its assets and liabilities would already be a part of Roberts? bankruptcy estate and this additional bankruptcy would be superfluous. See Moore v. Moore, 360 S.C. 241, 259, 599 S.E. 2d 467, 476 (Ct. App. 2004) (stating that as a sole proprietor, the owner?s personal income and the business?s income are the same and the owner?s ?personal expenditures are probative as to his business?s financial viability.?).

The Federal Rules of Bankruptcy Procedure provide that ?[e]very petition, pleading, written motion, and other paper, except a list, schedule, or statement, or amendments thereto, shall be signed by at least one attorney of record in the attorney?s individual name. A party who is not represented by an attorney shall sign all papers.? Fed. R. Bankr. P. 9011(a). While individuals in bankruptcy or other court proceedings may represent themselves, the same prerogative is not afforded to corporations and other certain business entities. It is well-established law that those entities must be represented by a licensed attorney because they are fictional legal persons; therefore, they cannot appear for themselves personally. See Rowland v. Cal. Men?s Colony, 506 U.S. 194, 2010-2, 113 S. Ct. 716, 721, 121 L. Ed. 2d 656 (1993) (?It has been the law for the better part of two centuries, for example, that a corporation may appear in the federal courts only through licensed counsel.? (citations omitted)).

?Pursuant to 28 U.S.C. ? 1654, bankruptcy courts have the statutory authority to regulate who may appear before them.? In re Wile, C/A No. 09-04657-JW, slip op. at 2 n.3 (Bankr. D.S.C. Sept. 9, 2010). Consistent with the long-established rule described in Rowland, the South Carolina Local Bankruptcy Rules require that ?[a]ll partnerships, corporations and other business entities must be represented by an attorney duly admitted to practice as specified in SC LBR 2090-1, except with respect to the filing of proofs of claim or interests and reaffirmation agreements.? SC LBR 9011-2(b); see also Local Civil Rule 83.1 IX.02 DSC (authorizing Bankruptcy Judge of the District of South Carolina ?to make such rules of practice and procedure as they deem appropriate.?). This rule is also recognized under South Carolina state law. See Renaissance Enters., Inc. v. Summit Teleservices, Inc., 334 S.C. 649, 653, 515 S.E.2d 257, 259 (1999) (holding that a non-lawyer is not allowed to represent a corporation in state circuit or appellate courts).

An LLC, such as BTR, is a type of business entity that is ?a legal entity distinct from its members.? S.C. Code Ann. ? 33-44-201. Therefore, like other business entities, BTR can appear in court only through a licensed attorney. Monster Daddy, LLC v. Monster Cable Prod. Inc., 2008 U.S. Dist. LEXIS 54406 (D.S.C. 2008) (?It is well established that a limited liability company is an artificial entity that cannot appear pro se and must be represented by counsel.?); see also In re 1103 Norwalk St., L.L.C., 011-0059C-7G, 2003 WL 23211564, at *1 (Bankr. M.D.N.C. Nov. 26, 2003), appeal dismissed, 174 F. App?x 787 (4th Cir. 2006) (citing various cases); In re Unauthorized Practice of Law Rules Proposed by S.C. Bar, 309 S.C. 304, 305, 422 S.E.2d 123, 124 (1992) (?We have refused, however, to allow an individual to represent a business entity .. .? (citing State ex rel. Daniel v. Wells, 191 S.C. 468, 5 S.E.2d 181 (1939) ). Furthermore, ?[t]he majority of other jurisdictions have held a corporation must be represented by an attorney in all courts.? Renaissance Enters., 334 S.C. at 652, 515 S.E.2d at 258 (emphasis in original) (citations omitted).

(AP) ? Missouri Sen. Claire McCaskill, one of the most vulnerable Democrats up for re-election in 2012, plans to skip the Democratic National Convention in Charlotte, N.C.

McCaskill said Tuesday she will spend the week campaigning in her home state instead. She joined a growing list of Democrats in conservative districts who have decided to avoid the convention, which will be a showcase of President Barack Obama's re-election campaign.

"Would you go to North Carolina for a bunch of parties and glad-handing, or would you stay home and work as hard as you know how and convince Missourians they should rehire you?" McCaskill said Tuesday between Senate votes.

But McCaskill insisted her decision was not about avoiding Obama. She said she's asked the President to campaign with her and will join Vice President Joe Biden for an event soon. McCaskill noted that she appeared recently with Obama at an event in Joplin, Mo.

"Of course," she said when asked if she would stand on the same stage as Obama.

Missouri was one of the few swing states that did not vote for Obama in 2008, and his approval ratings are stubbornly low there. Still, McCaskill's absence will be notable: She played a prominent surrogate role for Obama in 2008, offering an early endorsement in his primary race against then-Sen. Hillary Clinton and continuing to offer support throughout the general election.

McCaskill attended the 2008 convention, though she was not up for re-election that year. In the past, she has regularly skipped her party's convention when she is on the ballot. In 2004, for example, she did not attend the convention even though she was running for governor in Missouri.

Republicans have said repeatedly that McCaskill is one of their top Senate targets in 2012. The GOP needs to net four seats to take control of the Senate, a task both parties believe will be difficult unless McCaskill is unseated.

Each of McCaskill's three potential Republican opponents has sought to tie her to Obama, a reflection of the president's low standing in the state. In interviews, she has said she will not run away from Obama ? whom she calls a personal friend ? but says she also will not hesitate to point out areas where they disagree.

BEIRUT (AP) ? Gunmen attacked a pro-government TV station Wednesday near the Syrian capital, killing seven employees in the latest barrage of violence as world powers prepared for a high-level meeting that the U.S. hopes will be a turning point in the crisis.

Invitations to Saturday's gathering in Geneva were sent by special envoy Kofi Annan to the five permanent members of the U.N. Security Council ? including Syrian allies Russia and China ? but not to major regional players Iran and Saudi Arabia.

The absence of those two countries, as well as the lack of any appetite for international military intervention, could make it difficult for the group to find the leverage to end the bloodshed in Syria. An effort by Annan to broker a peace plan failed earlier this year.

Diplomatic hopes have rested on Russia ? Syria's most important ally and protector ? agreeing on a transition plan that would end the Assad family dynasty, which has ruled Syria for more than four decades. But Moscow has rejected efforts by outside forces to end the conflict or any plan to force regime change in Damascus.

The United Nations said Wednesday that the conflict, which began in March 2011 as part of the Arab Spring that swept aside entrenched leaders across the region, is descending into sectarian warfare.

President Bashar Assad has so far appeared largely impervious to world pressure and he has warned the international community from meddling in the crisis, which has seen a sharp escalation in violence in recent months. He said this week that his country is in "a genuine state of war," an increasingly common refrain from the Syrian leader.

Assad denies there is any popular will behind the uprising, which is in its 16th month, saying terrorists are driving a foreign conspiracy to destroy the country. Activists say more than 14,000 people have been killed in the violence.

An Associated Press photographer said the attack on the Al-Ikhbariya TV station in the town of Drousha, about 20 kilometers (14 miles) south of the capital Damascus, left bloodstains on the ground and bullet holes in the walls. The attack heavily damaged five portable buildings used for offices and studios.

Al-Ikhbariya is privately owned but strongly supports the regime.

"What happened today is a massacre," Information Minister Omran al-Zoebi told reporters. He blamed terrorists ? the same term the government uses for rebels.

The rebels deny they target the media. Activists blamed the attack on elite Syrian troops who defected from the regime Tuesday. The allegation could not be independently confirmed.

Several other staff members of the TV station were wounded in the attack, which happened just before 4 a.m., an employee said. He added that the gunmen kidnapped him along with several station guards. He was released but the guards were not.

The employee, who did not give his name for fear of retribution, said the gunmen drove him about 200 meters (yards) away and he then heard an explosion from the station.

"I was terrified when they blindfolded me and took me away," the man said by telephone.

Hours after the attack, the station was still on the air, broadcasting news of a rally in a Damascus square by people protesting the raid.

Earlier this month, two Al-Ikhbariya employees were shot and seriously wounded by gunmen in the northwestern town of Haffa while covering clashes between government troops and insurgents.

Much of the violence that has gripped Syria in the uprising has been sanctioned by the government to crush dissent. But rebel fighters are launching increasingly deadly attacks on regime targets, and several massive suicide attacks this year suggest al-Qaida or other extremists are joining the fray.

On Wednesday, the U.N. gave a grim assessment of the crisis, saying the violence has worsened since April, when the cease-fire brokered by Annan was supposed to go into effect. There also were signs the bloodshed is descending into sectarian warfare.

"Where previously victims were targeted on the basis of their being pro- or anti-government, the Commission of Inquiry has recorded a growing number of incidents where victims appear to have been targeted because of their religious affiliation," a panel of U.N.-appointed human rights experts said in a report released in Geneva.

Sectarian warfare is one of the most dire scenarios in Syria, which for decades managed to ward off the kind of bloodshed that has long bedeviled Iraq and Lebanon.

Sunnis make up most of Syria's 22 million people, as well as the backbone of the opposition. But the Assads and the ruling elite belong to the tiny Alawite sect, an offshoot of Shiite Islam, which has bred deep resentments.

Several notorious attacks during the uprising appeared to have sectarian overtones ? including the Houla massacre in May, when more than 100 people were killed in a collection of villages in central Syria.

Paulo Sergio Pinheiro, who heads a U.N. panel conducting an international investigation of allegations of human rights abuses in Syria, called the country a "crime scene."

He said the probe into the Houla massacre concluded that forces loyal to the regime "may have been responsible" for many of the deaths. Investigators have said pro-regime, Alawite gunmen known as shabiha were believed to be responsible for at least some of the killings.

Houla leans toward the opposition, and most of the victims were women and children who were slain in their homes, the report said.

"The manner in which these killings took place resembles those previously and repeatedly documented to have been committed by the government," Pinheiro told the U.N.'s top human rights body in Geneva.

A final position on who was responsible for the massacre would require more work, Pinheiro said. But he said interviews conducted by the commission "indicated that government forces and shabiha have committed acts of sexual violence against men, women and children."

The U.N.'s deputy envoy for Syria, Jean-Marie Guehenno, told the Human Rights Council that the violence has "reached or even surpassed" levels seen before the April 12 cease-fire.

Fayssal al-Hamwi, the Syrian ambassador in Geneva, said the allegations against the government are "quite fantastic." Calling the council meeting blatantly political, he said he no longer wished to participate and strode out in protest.

U.S. Secretary of State Hillary Rodham Clinton said she has "great hope" that the Geneva meeting can be a turning point in the crisis.

Annan "has developed his own very concrete road map for political transition" from the Assad regime, Clinton said. "We believe it embodies the principles needed for any political transition in Syria that could lead to a peaceful, democratic and representative outcome reflecting the will of the Syrian people."

Annan, who represents the U.N. and the Arab League, said he sent invitations to Britain, China, France, Russia and the United States ? plus Turkey, Iraq, Kuwait and Qatar, and the European Union.

The absence of Iran and Saudi Arabia is significant because they support opposing sides of the conflict. Iran is one of the regime's top allies, and Saudi Arabia backs Syria's opposition. Annan gave no reason for not including the countries, although the U.S. has been adamantly opposed to Iran taking part.

Iran's U.N. ambassador, Mohammad Khazaee, said the way to resolve the Syrian crisis is "cooperation among everybody, especially the major players in the region, based on a fair approach on the issue."

Russia, which along with China has twice protected Assad's regime from U.N. sanctions and continued to provide it with weapons, has argued that the West should raise pressure on the Syrian opposition to sit down for talks with the government. Moscow has argued that the Syrians themselves must determine the country's future and warned that it would firmly oppose any document urging Assad to step down.

Russian Foreign Minister Sergey Lavrov has said the Geneva meeting "should be aimed at mobilizing resources that foreign players have to create conditions needed to start an all-Syrian political process, not to predetermine its direction." He warned against using the conference to "justify any future unilateral actions."

The meeting comes also at a time of regional tensions. Syria shot down a Turkish military plane last week, saying it violated Syrian airspace.

Turkey denies that, but both sides have appeared keen to avoid escalating the matter. On Wednesday, al-Zoebi, the Syrian information minister, told Turkish TV that Syrian forces may have mistaken the plane for an Israeli aircraft. Syria and Israel are enemies.

Although lots of people are now into fitness and healthy lifestyles, many are not yet?? ready? to start a physical wellness program because they? lack the motivation, inspiration and positive feelings? to initiate change.

This type of challenge has empowered experts and health professionals to develop a holistic approach to wellness. Health advocates like? the IDEA Health and Fitness community, the world?s leading organization in health and fitness, are now putting more efforts to incorporate campaigns for positive well-being into health care and fitness programs worldwide. One such is? improving one?s level of happiness for? positive physical health.

Positive emotions

As professionals, we should not focus solely on a client?s body-fat percentage, or how many repetitions of push-ups he or she can do. Rather, we should also focus on clients?? positive emotions,? not only as a result of exercise, but also based on how they manage their thoughts and actions.

Not all fitness and medical experts have a solid foundation in psychology and spiritual wellness, but our constant encounter with clients or patients, based on how we present ourselves as role models, what we say to them, and what we do even in our private lives, can have a direct and positive influence in their thoughts and feelings.

In our own little way, we contribute to people?s overall well-being.

According to Peter Davis,? creator of IDEA?s ?Exercise Your Happiness? program, to meaningfully change our clients? lives, we should consider our selves not only as fitness professionals but? happiness professionals, too.

What is happiness?

The June 2011 issue of ?IDEA Fitness Journal? presented various definitions of happiness by positive psychology experts:

Martin Seligman, known as the father of positive psychology, presents in his book, ?Flourish: A Visionary New Understanding of Happiness and Well-being,? a broader model of the well-being theory, called Perma. This model? encompasses five measurable elements that constitute human flourishing: positive emotions, engagement, positive relationships, meaning and accomplishment.

According to a study published in the ?Review of General Psychology? by Sonja Lyubomirsky, one of the world?s leading researchers on happiness,? 40 percent of our happiness is within our power to change through the ways we think and act. This shows that we have the power to decide and act on our happiness. The other 50 percent can be credited to a genetic set point or baseline.

Meanwhile, research published in ?Psychological Bulletin? by? psychology professor and senior scientist Ed Diener suggests that only about 10 percent of our happiness is associated with life circumstances such as money, beauty, marriage and health.? This implies that many transformations we create in our lives can make us only 10 percent happier, but we can still do something about it.

Survival

According to Diener, there is a growing body of evidence that happiness is beneficial for one?s survival of illness and longevity. In his 2011 review, he concluded that high subjective well-being may add 4-10 years of life compared with low subjective well-being.

A study published in the ?Archives of General Psychiatry? that tracked over 6,000 men and women for 20 years shows that that emotional vitality (sense of enthusiasm, hopefulness, engagement in life, and the ability to face life?s stresses with emotional stability) appears to lessen the chance of coronary heart disease.

Aside from better physical health and longer life, Lyubomirsky reports in her book, ?The How of Happiness: A Scientific Approach to Getting the Life You Want,? that the other consequences of happiness include higher income, greater productivity and higher quality of work, and more satisfying relationships.

Life strategies

(AP) ? Rielle Hunter says she and former presidential candidate John Edwards have ended their relationship.

Hunter told ABC's "Good Morning America" on Tuesday that she and Edwards were still a couple until late last week, as details from Hunter's memoir became public. The breakup was painful, but Hunter said Edwards will still be involved with their daughter, Quinn, who is 4 years old and lives with Hunter.

"We are a family, but as of the end of last week, John Edwards and I are no longer a couple," Hunter said on Tuesday's show. "We decided together to end it."

Asked why the relationship ended, Hunter responded, "I think that's private." She referenced "media scrutiny" the couple had endured but gave no specifics, only saying, "It's hard, and it wears you down after a while."

The book, "What Really Happened: John Edwards, Our Daughter and Me," is being released Tuesday through a Dallas-based boutique publisher, BenBella Books. The Associated Press reported on the book last week.

In the book, Hunter describes intimate details about her affair with Edwards, whose campaign hired her as a videographer, and sheds light on his thoughts as federal prosecutors mounted a case against him on illegal campaign contribution charges.

An attorney for Edwards said she would forward to him a message seeking comment.

Prosecutors had accused the Democratic politician of masterminding a scheme to use about $1 million in secret payments from two wealthy political donors to hide his pregnant mistress as he sought the White House in 2008.

According to Hunter, Edwards told her he would probably wind up in a low-security prison in Virginia if he was convicted, and Hunter said she planned to move nearby with their daughter if that happened. A judge declared a mistrial last month, and federal prosecutors have opted not to retry Edwards.

Hunter's memoir also includes intimate details about her affair with Edwards as his wife, Elizabeth, was dying of cancer. On Tuesday, Hunter said she felt it was necessary to tell the truth about her relationship, even if doing so was painful for her, Edwards or his other children.

Saying that she still loves Edwards, and that she believes he still loves her, Hunter said Tuesday that she was unsure of the future.

"We'll see what happens," she said. "I have no plans."

Unemployment among recent veterans jumped to 12.7 percent in May, up from 9.2 percent the previous month, according to the US Bureau of Labor Statistics. The Veterans Affairs blog notes that this number jumps up and down but is trending downward overall.

Police departments have had their own struggles with funding and personnel. At least 85 percent of departments have reported budget cuts, and thousands of police positions around the country have remained unfilled due to lack of funding, noted?Associate Attorney General Tony West during the conference call.

The grants announced Monday total more than $111 million, which will help bolster departments in 221 cities and counties ? and the money is already appropriated, so will not provoke a budget fight in Congress.

COPS funding approached 1990s levels at the height of the recession in 2009, though it has fallen off significantly since the end of the American Recovery and Reinvestment Act.

President Bill Clinton signed off on the program as part of a package of anticrime legislation in 1994. It did not get as much funding under President George W. Bush, but the current vice president doesn?t see it going away anytime soon.
